Annual and special meeting minutes;
Share transfer agreements andshare certificates;
Prepare and organize Articles of Organization (LLCs),company operating agreements and IRS filings, and partnership agreements;
Advise, negotiate and renegotiate the terms of business lease or purchase;
Review, advise on and draft employment contracts and liability waivers;
Provide direction and options concerning respective risks and rewards of business entity choice prior to initiation, advise on proper legal and financial foundations;
Advise regarding appropriate insurances, prepare internal and external agreements to preserve partner relations and business assets;
Adviseand protect business ideas and trade secrets;
Review, negotiate and renegotiate third-party contracts, preserve resources, relationships, refer to reputable third-party lenders and insurance agents;
Advise and strategize with client to trouble-shoot problems and resolve conflicts.
